Special community meeting Wednesday 16NOV, 7:30PM via Zoom

the following is a modified version of a letter sent via USPS mail 2Nov2022

Dear Forest Springs Community:

On Sept 28 2022 President Sean Machado and Vice President Rolf Grumme tendered their immediate resignations to the Forest Springs Improvement and Maintenance Association Board of Directors. Two weeks later, on the afternoon prior to our monthly board meeting on October 17, 2022, Julio Valencia tendered his immediate resignation. I would like to thank Sean, Rolf, and Julio for their service to our community.

Unfortunately, these departures have left the remaining board of directors count insufficient for us to conduct business. The board is currently without a mechanism to increase our number to 11 total board members- a minimum of 7 are required.

As outlined in Article V, section 3 of the Forest Springs Improvement and Maintenance Association, Inc By-Laws, September 2003, 10 members of the corporation have requested a special meeting of the members to elect additional board members. I am writing this letter to invite you to that special community meeting, which will be held virtually via Zoom on November 16, 2022 at 7:30PM. Agenda, and some additional technical information can be found immediately following this letter. Zoom info can be obtained by emailing FSBoardMembers@forestsprings.org. It will hopefully also be posted here on the website- but that is in progress.

The following individuals have expressed interest in election to the Board of Directors:

Nominations of these individuals AND nominations at the meeting from the board or floor are equally acceptable and all eligible candidates will be put to a vote. Board candidates will need to be current with their dues to be eligible.

Please note that we may have less positions available than potential candidates. We are limited to 11 total directors.

Additional information:

  • In order to proceed, we will need at least 20 attendees.

  • A computer connection is not necessary to attend- for questions about phone only attendance, please reach out to the board at FSBoardMembers@forestsprings.org.

  • Please note that we are limited to 100 attendees, SO wherever possible, members of the same household should use one connection.

  • As stated in Article V, section 6: “Each member of the Corporation shall be entitled to one vote at any regular or special meeting, provided the dues of said member have been paid to and including the month previous to that in which the meeting is held. For voting purposes, all persons owning joint interest, or interests in common, in any parcel or parcels of property shall have but one vote to be exercised by them. Such member may vote by written proxy, filed with the Secretary at or before the time of holding such meeting.”

    • The proxy form was included in the meeting invitation sent by USPS mail. Please email FSBoardMembers@forestsprings.org to obtain more copies (we are working on posting here as well). To return completed forms, please scan or photograph and return by email to FSBoardMembers@forestsprings.org. Submissions up until the time of the meeting will be accepted. The intention is to give those who cannot attend an opportunity to vote or designate a proxy to vote for them.
